To fill everyone in.  I was using FWZ encryption and that was the
problem.  I changed to ISAKMP and everything works fine.

Thanx for all the suggestions.  

You shouldn't have to open ports or tell the Exchange server to use
specifc ports of a return connection from the inside to the outside when
using the SecuRemote client.
